Public Offer (Service Agreement)

This document is a public offer (the "Offer") — a binding agreement between TDSPRO ("we", "Operator", "Service") and any individual or legal entity ("you", "User") who accepts it. The Offer is accepted, and the agreement is concluded, the moment you pay for any plan or otherwise start using the Service. If you do not agree with any part of this Offer, do not pay for and do not use the Service.

1. Parties & requisites

The Operator is the owner and provider of TDSPRO, a unified OpenAI-compatible API gateway available at tdspro.lol and api.tdspro.lol. The User is any person who accepts this Offer.

This Offer, together with the Terms of Service, Acceptable Use Policy, Privacy Policy, and Refund Policy referenced below, forms the entire agreement between the parties.

2. Definitions

"Service" — the TDSPRO unified API gateway, dashboard, and website that route the User's requests to independent third-party AI model providers and provide related features (smart routing, fallback, caching, budgets, usage analytics).

"Third-party providers" — the independent AI model providers to which requests are routed. We do not own these models and do not name specific upstream providers in this Offer.

"Plan" — a subscription, prepaid token credit balance, or request pack purchased by the User. "Credits" — prepaid units of access denominated against usage. "Order" — a specific purchase created at checkout for a fixed USD amount.

3. Subject of the Offer

The Operator grants the User paid access to the Service: a single, OpenAI-compatible endpoint and account that route the User's requests to third-party AI models, plus the associated tooling. This is an access/services agreement — the User pays for access to and use of a routing and tooling service, not for the third-party models themselves.

Outputs are generated by independent third-party providers. Their availability, behaviour, and content are outside the Operator's control. The Service is provided on an "as available" basis and may evolve, add, change, or discontinue models, providers, and features over time.

4. Acceptance (payment = acceptance)

The User accepts this Offer in full, without reservations, by performing any of the following conclusive actions: (a) paying for any Plan or Order; (b) creating or activating an API key; or (c) sending any request through the Service.

Acceptance is equivalent to a handwritten signature. From the moment of acceptance, this Offer is a binding agreement. No separate paper contract is required.

By accepting, the User confirms they are at least 18 years old, have full legal capacity, and are entitled to enter into this agreement.

5. Price & payment

All prices are denominated in US dollars (USD) as shown on the pricing and checkout pages. Payment is currently accepted in cryptocurrency only. The User funds an Order by sending the exact amount on the correct network shown at checkout.

Access or Credits are granted automatically after the payment is confirmed on-chain. The User is solely responsible for sending the correct amount on the correct network; all network/blockchain fees are borne by the User and are not part of the price.

Cryptocurrency payments are irreversible. There are no chargebacks. Initiating a fraudulent reversal or dispute is a breach of this Offer. Where a refund is due under the Refund Policy, it is issued in Service Credits — not back in cryptocurrency — except where the Refund Policy expressly provides otherwise.

Sending the wrong amount, using the wrong coin or network, or sending to a wrong/expired address may result in irretrievable loss of funds for which the Operator is not responsible.

6. Rights & obligations

The Operator undertakes to provide access to the Service in accordance with this Offer, to apply the User's Plan and quotas, and to issue real model names without silently substituting cheaper models.

The User undertakes to: keep API keys secret; pay correctly; use the Service only lawfully and in line with the Acceptable Use Policy; not resell, sublicense, or share keys; not evade rate limits, budgets, or bans; and comply with the rules of third-party providers.

The Operator may suspend or restrict access to prevent abuse, fraud, security risks, or breach of this Offer or the Acceptable Use Policy.

7. Refunds

Refund eligibility, the service-failure exception, non-refundable items, and the procedure are governed by the Refund Policy at /refund, which forms part of this Offer. As a rule, approved refunds are issued as Service Credits on the unused balance.

8. Liability & cap

The Service and all outputs are provided "as is" and "as available", without warranties of any kind. AI outputs may be inaccurate, incomplete, or unsuitable; the User is solely responsible for reviewing them and deciding how to use them.

To the maximum extent permitted by law, the Operator is not liable for indirect, incidental, special, or consequential damages, lost profits, or lost data. The Operator's total aggregate liability for any and all claims is limited to the amount the User actually paid for the Service during the three (3) months preceding the event giving rise to the claim.

9. Force majeure

Neither party is liable for failure or delay caused by events beyond reasonable control, including but not limited to: outages, throttling, policy changes, or discontinuation by third-party model providers; blockchain network congestion, forks, or fee spikes; internet, hosting, or power failures; cyber-attacks; acts of authorities; war, hostilities, mobilisation; and natural disasters.

10. Disputes & governing law

The parties will first attempt to resolve any dispute through good-faith negotiation by writing to [email protected] (you can also reach support via Telegram @tdspro_admin). The claim-response period is thirty (30) days.

This Offer is governed by applicable law, and disputes not resolved by negotiation are submitted to the competent court at the Operator's location, except where mandatory consumer-protection law grants the User other rights.

11. Term, amendment & termination

The Offer takes effect upon acceptance and remains in force while the User uses the Service or holds an active Plan or Credits.

The Operator may amend this Offer; the current version is always published at /offer with an updated date. Continued use after changes constitutes acceptance of the amended Offer.

Either party may terminate: the User by ceasing use; the Operator for breach of this Offer or the Acceptable Use Policy, suspected abuse, or legal reasons. Termination does not entitle the User to a refund of consumed usage.

12. Intellectual property

All rights to the Service software, brand, and content remain with the Operator. Subject to this Offer, the User retains rights to their inputs and, to the extent permitted by third-party providers, to the outputs they generate. The User may not copy, reverse-engineer, or build competing services from the Service, and may not use outputs to train models that compete with the Service or its providers.

13. Data processing

Processing of personal data and request content is described in the Privacy Policy at /privacy, which forms part of this Offer. By accepting, the User consents to that processing, including transmission of request content to third-party providers for the sole purpose of fulfilling requests.

14. Age requirement

The Service is intended only for users aged 18 and over. By accepting this Offer the User confirms they meet this requirement.
